1. Who we are and how to contact us
These Terms of Service (“Terms”) govern your use of the Borealis Production Studios website and services.
By creating an account or using our services, you agree to these Terms and our Privacy Policy.
2. Definitions
In these Terms:
- “Borealis”, “we”, “us”, “our” means Borealis Production Studios.
- “You”, “your” means the individual freelancer who uses the Service.
- “Service” means our website, tools and features, including the Connections Hub that introduces freelancers to production companies and related parties.
- “Freelancer” means an individual using the Service to seek freelance work.
- “Client” means a production company or other party that may engage a Freelancer.
- “Engagement” means a freelance job or project arising from, or materially facilitated by, our Service.
- “Commission Fee” means our 10% fee payable by the Freelancer under Clause 10.
- “Personal Data” has the meaning in UK data protection law.
- “Business Day” means Monday–Friday, excluding public holidays in England.
Interpretation. Words following “including”, “include”, “for example” or similar are illustrative and do not limit the generality. Headings are for convenience only and do not affect interpretation. References to “writing” include email.
3. Eligibility and account
- You must be 18 or over, have the capacity to enter a contract, and hold any right-to-work, permits and professional insurances required for your work.
- You must provide accurate, current information and keep account credentials confidential. You are responsible for all activity on your account. Notify us immediately of any unauthorised access.
4. Our role (no employment or agency relationship)
- We operate a connections platform only. We are not a party to any Engagement between you and a Client.
- Nothing in these Terms creates an employment, worker, agency, partnership or joint venture relationship between you and Borealis or between you and any Client via Borealis.
- You act as an independent contractor. You are solely responsible for your taxes, National Insurance, pensions, insurance (including professional/public liability), and compliance with applicable laws.
5. No guarantee of work
We do not guarantee any introductions, interviews or Engagements. Outcomes depend on Client needs and your suitability.
6. Information you share and how we use it
To make introductions, you consent to us collecting and sharing with relevant Clients your: name, role/position, stated rates, headshot/photograph, portfolio links and profile information you submit.
- By submitting details, you grant us a perpetual, worldwide, non-exclusive, royalty-free licence to store and share that information with relevant Clients for the purpose of facilitating work opportunities, until you withdraw under Clause 8.
- You warrant you have rights to the materials you upload and that they do not infringe third-party rights.
7. Use of your name and image for platform promotion
To promote the Connections Hub, you grant Borealis the right to use your name, profile image and submitted materials in our advertising and promotional content related to the Service. We will notify you in advance of any such use. You may opt out at any time by emailing borealisproductionstudios@gmail.com; we will cease future use upon receipt of your opt-out (this does not affect materials already published).
8. Privacy and data protection
Your use of the Service is conditioned on acceptance of our Privacy Policy, which explains our lawful bases for processing, retention periods, your rights (access, rectification, erasure, restriction, portability, objection), and how to withdraw consent.
- You may withdraw your profile and request deletion of Personal Data as set out in the Privacy Policy. Some data may be retained where we have a lawful basis (e.g., legal/financial records).
9. Professionalism policy (3-point system)
To maintain a safe, professional environment:
- We investigate substantiated reports (e.g., no-show, abusive or criminal conduct, serious unprofessional behaviour).
- Each verified incident may add 1 point to your profile.
- 3 points may result in immediate ban/suspension. We may suspend/ban immediately for severe misconduct. We exercise this policy reasonably and in good faith.
10. Fees and invoicing (10% commission)
10.1 Commission Fee. For every Engagement arranged through, or materially facilitated by, the Service, you owe Borealis a flat 10% Commission Fee calculated on the total amount you charge/receive for that Engagement. The Commission Fee is fixed and non-negotiable and applies to all work obtained via the Service. The Commission Fee is exclusive of VAT; VAT (if applicable) will be added to invoices at the prevailing rate.
10.2 Invoicing timing (whichever occurs first).
- Project completion: We will invoice you immediately upon completion of an Engagement for 10% of the total for that Engagement (plus VAT if applicable).
- Monthly cycle: For ongoing engagements exceeding one month, we will invoice at the end of each calendar month for 10% of the amounts earned/invoiced by you in that month (plus VAT if applicable). Monthly invoicing continues until the Engagement ends.
10.3 Payment terms. You must pay each invoice within 14 days of the invoice date (unless the invoice states a different due date). You agree to budget for and promptly settle the Commission Fee.
10.4 Late payment. We may charge statutory interest and fixed recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998 and may suspend or terminate your account for non-payment. You are responsible for any reasonable collection costs we incur.
10.5 Transparency. Each invoice will itemise the 10% Commission Fee. Examples may be provided for clarity (e.g., daily rate £300 ⇒ £30 Commission Fee per day).
10.6 Information obligation. You agree to promptly notify Borealis of any Engagement resulting from our introductions and to provide sufficient information (dates, rates, amounts) for accurate invoicing.
For clarity: Borealis does not deduct its fee from Client payments. You receive payment from the Client directly and then pay Borealis’s invoice for the Commission Fee under this Clause 10.
11. Acceptable use
You must not:
- Break the law or infringe third-party rights; upload unlawful, offensive, defamatory or harmful content; introduce malware.
- Copy, scrape, “rip”, reverse-engineer or misuse the Website.
- Impersonate others or harvest other users’ data.
- Remove/alter copyright, trademark or legal notices.
- Attempt to circumvent the Commission Fee or our processes.
We may suspend or terminate access for any breach.
12. Third-party content and links
Some content is provided by users or third parties. We do not endorse, control or guarantee third-party content or external sites and are not liable for any loss arising from your reliance on them. Access is at your own risk.
13. Intellectual property (Site materials)
All Website content (other than your User Content) is owned by us or our licensors and protected by IP laws. You may not reproduce or use it except as permitted by law or with our prior written consent.
14. Service availability and changes
We may modify, suspend or discontinue any part of the Service at any time. We will act reasonably and, where practicable, provide notice of material changes.
15. Liability and indemnity
15.1 What we are responsible for. We provide a platform that facilitates introductions. We do not supervise or control Clients or Freelancers and are not responsible for the acts/omissions of any user or Client, nor for the performance, quality, safety or legality of any Engagement.
15.2 Exclusions and limitations. To the maximum extent permitted by law, we exclude all implied warranties and are not liable for:
- loss of profit, revenue, business, contracts or goodwill;
- loss or corruption of data;
- indirect or consequential loss;
- claims arising from your dealings with Clients or other users, including conduct, non-payment, cancellations, delays or disputes.
15.3 Non-excludable liabilities. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
15.4 Cap. Subject to Clause 15.3, our total aggregate liability to you for all claims arising out of or in connection with the Service and these Terms shall not exceed the higher of £1,000 or the total Commission Fees you paid to us in the 12 months preceding the event giving rise to the claim.
15.5 Your indemnity. You agree to indemnify us against claims, losses and costs arising from (a) your breach of these Terms, (b) your User Content, or (c) your Engagements with Clients.
16. Suspension and termination
We may suspend or terminate your account (with or without notice) if you breach these Terms, fail to pay invoices, or where required for legal, safety or operational reasons. You may close your account at any time. Clauses which by their nature survive termination (including 6–8, 10, 11, 13, 15–21) survive termination.
17. Changes to these Terms
For material changes, we will give at least 30 days’ notice (e.g., by email or on-site notice). Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service before the change takes effect.
18. Electronic communications
You consent to receive communications from us electronically (including by email and via the Website). You agree that all agreements, notices and other communications provided electronically satisfy any legal requirement that such communications be in writing.
19. Assignment
We may assign or transfer our rights and obligations under these Terms. You may not assign or transfer your rights or obligations without our prior written consent.
20. Force majeure
We will not be liable for any failure or delay caused by events beyond our reasonable control, including outages, strikes, acts of God, epidemics, regulatory actions or failures of suppliers or networks.
21. Governing law and jurisdiction
These Terms and any dispute or claim (including non-contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
22. Entire agreement; severability; no waiver
These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede prior understandings. If any provision is held invalid, the remainder remains in full force. No failure or delay to enforce any right constitutes a waiver.
